Thomas M. Haines is a shareholder in the Firm and has 25 years of board-level consulting experience in the design and implementation of executive and outside director compensation programs.

His consulting experience extends over a broad range of company sizes and industries, and includes projects such as total compensation reviews, annual and long-term incentive plan designs, special retention arrangements, new hire and retirement/resignation packages, and equity conversions and change-in-control provisions in connection with business acquisitions and divestitures.

Tom is a technical expert in the areas of federal tax and securities laws and U.S. accounting standards as they pertain to executive compensation, and is a frequent speaker and writer on these topics. Tom co-authored a book for the National Center for Employee Ownership (NCEO) titled "Accounting for Equity Compensation" that was a required text for the Certified Equity Professional (CEP) program. Tom is a member of the teaching faculty at WorldatWork where he is a Technical Advisor andteaches advanced courses on executive compensation to industry professionals, and authors their publication on SEC executive compensation proxy disclosure rules now in its fourth edition. Tom also oversees the Firm’s proprietary survey database of large-company long-term incentive award levels and design provisions.

Previously, Tom was a Manager in the Minneapolis office tax practice of Ernst & Young where he worked for five years.
